Getting problems with sn.exe outside of NETFX 4.0 tools

Question

Has anyone understood why .net 4.0 version sn.execrashes if executed outside C:\Program Files\Microsoft SDKs\Windows\v7.1\Bin\NETFX 4.0 Tools\ ? (Using Windows XP, 32-bit)

Visual Studio 2010 works very well, sn works in NETFX 4.0 tools (called directly or while on PATH).

Version .net 3.5 (from .. \ Bin) works fine and can be moved.

I'm just trying to create an auto sort, but it seems that sn.exe should live where it is ... Could this be? Am I missing something?
